Terms of Service

These Terms govern your use of maitro.tech, the Society community app, and your participation in any Maitro tier (Society, Boardroom, Spotlight, Build Lab, Council).

If you accept Maitro's offer of any tier, the tier-specific agreement (Society Membership, Boardroom Invitation, Spotlight Retainer, Named Ideator Agreement for Build Lab, Council Charter) governs that engagement. These Terms are the foundation.

1. Who's bound

"Maitro" means Talpro India Private Limited. "You" means any individual using the site, applying to any tier, or accepting membership.

2. Eligibility

maitro.tech is intended for senior business leaders. Society membership requires a working CXO-level email address that we verify. Build Lab applications require two peer references and pass through written conflict-of-interest review.

3. Your content & the idea you submit

Application content remains yours up until a signed Named Ideator Agreement covers a specific venture. If we don't enter such an agreement, your content is held under NDA, used only for review and conflict scanning, deleted within 90 days. We never train AI models on your content. We never license it onward.

4. The Build Lab engagement

If accepted, governed by a separate Named Ideator Agreement + Brand Amplification SLA. The Named Ideator Agreement spells out: scope of your contribution (idea + name + Spotlight commitments), Maitro's ownership of operating company and IP, royalty terms (capped, time-bound, paid quarterly to you in INR), IP-conflict underwriting against your current employment, conflict-disclosure protocol, exit terms.

5. Royalty & commercial terms

Maitro & Talpro own 100% of the operating company and the IP for every Build Lab venture. The named ideator does not take equity (which would conflict with most senior leaders' employment IP and non-compete terms) and does not put capital at risk. Maitro pays the named ideator a royalty — capped, time-bound, paid quarterly in INR, audited — disclosed in full in the Royalty Agreement. Exact %, cap, term visible to verified senior-leader email addresses.

6. Code of conduct

Zero tolerance for harassment, discrimination, deceptive conduct, or misuse of confidential conversations from Boardroom dinners. Breach forfeits membership without refund.

7. Intellectual property

Maitro brand assets — name, logo, content, Society app interface — owned by Talpro India. You may not use them in commercial contexts without prior written permission, except to truthfully describe your participation as a Maitro alumnus or member.

8. Limitation of liability

Maitro's total liability to any individual under these Terms is capped at fees actually paid in the preceding twelve months. For free tiers (Society), the cap is INR 50,000.

9. Termination

You can leave any free tier at any time. Paid tier engagements governed by their respective agreements. We can terminate any membership for breach of Section 6 or fraudulent representation.

10. Governing law

Laws of India. Exclusive jurisdiction: courts in Bangalore. Mandatory good-faith mediation as precondition to litigation.

11. Changes

Material changes notified by email at least 14 days in advance.
